2026 Founding Edition

These Customer License and Permitted Use Terms (“License Terms”) govern use of the Auction Command Center 2026 Founding Edition. These License Terms are issued by Danny McCargar, the owner and publisher of Auction Command Center (“Licensor”). The payment platform or merchant of record that processes an order is not the Licensor merely because it processes payment, tax, receipt, refund, or chargeback activity.

1. Acceptance

By purchasing, accessing, copying, authorizing, or using the Product, you agree to these License Terms. If you do not agree, do not access or use the Product and follow the applicable refund process stated in the separate refund policy and terms of sale.

2. Definitions

“Product” means the Auction Command Center 2026 Founding Edition customer package, including the delivered Google Sheets workbook, bound or associated Apps Script functionality, formulas, models, documentation, instructions, updates, and related materials supplied by Licensor.

“Customer,” “you,” and “your” mean the individual original purchaser. The license is issued to that purchaser and not to a fantasy league, employer, club, household, or other organization.

“Customer Data” means league settings, owner information, player values, rankings, tiers, notes, auction results, and other information supplied or entered by you.

“2026 Season” means fantasy-football preparation, mock drafts, league drafts, regular-season activity, fantasy postseason play, and related administration based on the 2026 NFL season. It does not include preparation for or participation in fantasy-football leagues based on the 2027 or any later NFL season.

3. Limited License Grant

Subject to payment and continued compliance with these License Terms, Licensor grants you a limited, nonexclusive, nontransferable, season-limited license to access, copy, configure, and use the Product solely for your own fantasy-football auction-draft preparation, mock drafts, league participation, and league administration during the 2026 Season. No right is granted to operate or use the Product for the 2027 or any later NFL fantasy-football season.

The Product is licensed, not sold. No ownership interest in the Product, its formulas, scripts, models, documentation, design, or other intellectual property is transferred to you.

4. Permitted Use

You may:

• create and use a reasonable number of working copies in Google Drive for your own 2026 Season mock drafts, separate leagues, active drafts, testing, and season archives;

• keep one or more clean backup copies for restoration and recovery;

• enter and maintain your own Customer Data and use third-party data that you are authorized to use;

• configure supported league, roster, budget, valuation, and strategy settings through documented customer-input fields and workflows;

• make personal-use cosmetic or organizational changes that do not remove notices, circumvent protections, expose proprietary components, or create a competing or redistributed product; and

• permit a person actively co-managing your fantasy team to view or assist with the same working copy solely for that team and league, provided that person receives no independent right to retain, copy, distribute, or use the Product.

5. Copy and Access Controls

Every permitted copy remains subject to these License Terms. You must keep product copies under your control and use reasonable measures to prevent unauthorized access or distribution.

You may not publish a Product link for unrestricted access, enable “anyone with the link” access, post a copy in a public or broadly shared folder, or provide a clean or reusable copy to another person.

A permitted collaborator must stop accessing the Product when the collaboration ends. You are responsible for access granted through your account or by you.

6. Prohibited Use

Except where applicable law does not allow a restriction, you may not:

• sell, resell, rent, lease, sublicense, transfer, gift, distribute, or commercially share the Product or any reusable copy;

• provide the Product as a benefit, deliverable, template, service, or tool for paying clients or customers;

• operate the Product as a hosted service, shared league-wide utility, public tool, or commercial draft-advice service;

• copy, extract, publish, disclose, or reuse proprietary formulas, scripts, models, protected tables, documentation, or design elements to create or improve another product;

• reverse engineer, decompile, defeat access controls, remove protections, or circumvent technical restrictions, except to the limited extent a restriction is prohibited by applicable law;

• remove or alter copyright, license, edition, version, attribution, or ownership notices;

• upload or disclose proprietary Product components to a public repository, public file-sharing service, or third-party system for publication, model training, redistribution, competitive analysis, or development of a competing product;

• use the Product in a way that infringes, misappropriates, or violates another person’s rights; or

• represent that Licensor, Auction Command Center, or the Product endorses your league, service, rankings, data, advice, or commercial activity.

7. Customer Data and Third-Party Materials

The 2026 Founding Edition is an engine-only product. It does not include licensed player rankings, projections, auction values, tiers, target grades, maximum bids, or strategic player notes unless expressly identified in the delivered package.

You are responsible for obtaining and maintaining any rights, permissions, subscriptions, or licenses needed for data you import or enter. You must comply with the terms of each data source and may not use the Product to copy or redistribute third-party content unlawfully.

As between you and Licensor, you retain your rights in Customer Data. These License Terms do not grant Licensor ownership of your Customer Data.

8. Customer Responsibilities

You are responsible for:

• using the Product only with supported or reasonably compatible league formats;

• reviewing league settings, source assumptions, player data, strategy inputs, and current news;

• entering transactions accurately and promptly;

• verifying budgets, rosters, auction results, and recommendations against the official league or auction platform;

• maintaining secure working and backup copies;

• controlling collaborators and account access;

• following documented setup, authorization, import, reset, update, and recovery procedures; and

• making all final bidding, nomination, roster, and strategy decisions.

Unsupported structural edits, deleted formulas, renamed protected tabs, altered scripts, overwritten calculated cells, or bypassed workflows may damage the Product. Licensor may decline support for a copy to the extent the issue was caused by unsupported modification or misuse.

9. Updates and Future Editions

The purchase includes maintenance releases, defect corrections, compatibility fixes, and documentation updates made generally available for the 2026 Founding Edition through December 31, 2026. An update does not extend the active-use license beyond the 2026 Season or authorize later-season use.

Updates may be delivered as replacement workbooks, revised files, patches, instructions, or other reasonable methods. You are responsible for installing updates, preserving backups, and following any migration instructions.

The license does not promise new features, custom changes, support for unsupported league formats, continuous compatibility with every third-party platform change, or any edition released for a later season.

The 2027 edition is not included in this license. The 2026 Founding Edition may not be used to prepare for or operate a 2027 or later-season fantasy-football league. Any original-purchaser discount or upgrade benefit for a later edition is governed by the separate offer terms announced for that edition and is nontransferable.

10. Support

Through December 31, 2026, Licensor will provide bounded email support through support@auctioncommandcenter.app for setup, authorization, supported configuration, importing, and suspected Product defects.

The stated two-business-day response target is a goal, not a guaranteed service level or resolution time. Support does not include guaranteed live draft-night emergency response, custom development, spreadsheet repair caused by unsupported edits, fantasy-football strategy consulting, proprietary player data, third-party platform integration, or support for undocumented league formats.

Licensor may request reasonable information, screenshots, or a diagnostic copy needed to investigate an issue. You are responsible for removing sensitive or unnecessary personal information before providing support materials.

11. Ownership and Feedback

Licensor and its suppliers retain all right, title, and interest in the Product and all related intellectual property, excluding Customer Data and third-party materials.

If you voluntarily provide suggestions, defect reports, or other feedback, you grant Licensor a worldwide, perpetual, irrevocable, royalty-free right to use that feedback to operate, support, improve, market, and develop Auction Command Center, without identifying you or disclosing your confidential information.

12. Third-Party Services

The Product depends on third-party services, including Google Sheets, Google Drive, Apps Script, browsers, internet access, and the applicable payment and delivery platform. Your use of those services remains subject to their own terms, permissions, limits, availability, and account requirements.

A payment platform may act as merchant of record for the transaction. Its role in payment processing, tax collection, refunds, chargebacks, receipts, or order administration does not transfer ownership of the Product or expand the license granted here.

13. Term, Expiration, and Termination

This license begins when you first purchase, access, copy, or use the Product. Active-use rights are limited to the 2026 Season and expire automatically, without notice, at 11:59 p.m. Central Time on February 28, 2027. After expiration, you may retain Product copies solely as inactive personal archives or historical records. You may not run Product scripts, import later-season data, reconfigure or operate the Product, conduct later-season mock drafts, or use any Product component to prepare for or participate in the 2027 or any later NFL fantasy-football season.

You may terminate the license at any time by stopping use and deleting all Product copies under your control. A full refund, payment reversal, or successful chargeback automatically terminates the license and all update, support, and future-edition discount rights associated with the purchase.

Licensor may terminate the license for a material breach. Licensor may terminate immediately for unauthorized sale, resale, public distribution, deliberate circumvention of protections, or use to create or operate a competing product. For another curable breach, Licensor will ordinarily provide notice and a reasonable opportunity to cure before termination.

14. Effect of Expiration or Termination

Upon expiration, you must stop active use and remove collaborator access. You may retain inactive personal archive copies solely for historical reference and may not use them for a later season. Upon termination caused by a refund, payment reversal, chargeback, or breach, you must stop using the Product, remove collaborator access, and delete all Product copies and extracted proprietary materials under your control, except to the extent retention is required by law.

Termination does not limit rights or remedies arising from conduct that occurred before termination. Sections concerning ownership, restrictions, feedback, termination effects, and any terms that by their nature should survive will remain effective.

15. No Transfer

You may not assign or transfer this license, an order, an update entitlement, a support entitlement, or a future-edition discount without Licensor’s prior written permission. A change in email address or Google account does not itself transfer the license if Licensor can reasonably verify that the original purchaser remains the license holder.

16. Relationship to Other Terms

These License Terms govern permitted use of the Product. Separate terms of sale, refund policy, privacy notice, disclaimer, support policy, and checkout terms govern the purchase, payment, delivery, refunds, data practices, disclaimers, and other transaction matters.

If another applicable document conflicts with these License Terms about who may use, copy, share, transfer, or redistribute the Product, these License Terms control unless the other document expressly states that it overrides a specific license provision.

17. Changes to These License Terms

Licensor may revise these License Terms for future purchases or future Product editions. The version accepted with your purchase governs your existing license unless a change is required by law or you affirmatively accept amended terms.

18. General

A failure to enforce a provision is not a waiver. If a provision is found unenforceable, it will be modified only to the minimum extent necessary, and the remaining provisions will continue in effect.

Headings are for convenience only. “Including” means “including without limitation.” Electronic acceptance and records may be used to establish agreement to these License Terms.

Governing-law, venue, dispute-resolution, warranty, disclaimer, limitation-of-liability, refund, and privacy provisions are addressed in the separate applicable customer-terms package.
